A securities fraud class action lawsuit has been filed against Triller Group Inc. (“Triller” or the “Company”) (NASDAQ: ILLR) on behalf of shareholders who purchased or otherwise acquired the Company’s common stock between October 16, 2024 and December 29, 2025, inclusive (the “Class Period”). On October 15, 2024, AGBA Group Holding Limited completed a merger with Triller Corp. and changed its name to Triller Group Inc., with the combined company operating both AGBA’s existing businesses and Triller’s social media, live-streaming, and combat-sports properties, including Bare Knuckle Fighting Championship (“BKFC”).
The complaint alleges that, throughout the Class Period, defendants made materially false and misleading statements and/or failed to disclose that Triller’s control over and consolidation of BKFC was overstated; that, in part because of related accounting issues, Triller would be unable to timely file one or more periodic financial reports with the SEC as required under Nasdaq’s listing rules; that, as a result, Triller faced an increased risk of being delisted from Nasdaq; that the Company’s disclosure controls and procedures were deficient and the benefits of the merger were overstated; and that defendants overstated Triller’s ability to resolve its Nasdaq non-compliance.
On December 30, 2025, Triller announced that it had received a determination from a Nasdaq Hearings Panel confirming the suspension of trading in, and delisting of, its securities, effective that day, after the Company failed to file two periodic reports by a December 24, 2025 deadline the panel had set. Triller attributed the delay primarily to a technical matter involving the consolidation of accounts for a U.S.-based operation, later understood to involve BKFC. On this news, Triller’s stock fell $3.38 per share, or 91.35%, over the following two trading sessions, closing at $0.32 per share on December 31, 2025. Trading in Triller’s securities remained suspended from December 30, 2025 until April 15, 2026.
