What we’re investigating
Henzel Law is investigating potential claims on behalf of Stagwell Inc. (“Stagwell” or the “Company”) (NASDAQ: STGW), relating to whether the Company’s directors and officers breached their fiduciary duties in connection with its share repurchase activity. No lawsuit has been filed yet, no deadline is currently running, and no court has ruled on the merits of any matter described on this page.
The firm is particularly interested in hearing from long-term shareholders who acquired Stagwell stock in or before 2024 and continue to hold their shares today.
What the filings show
Stagwell’s Form 10-K for 2024 reports approximately $93.5 million of share repurchases during the year, including approximately $25.4 million of shares purchased from affiliates of Goldman Sachs. In November 2024 the board increased the Company’s repurchase authorization by an additional $125 million.
What the investigation is examining
A company buying its own stock is ordinary, and a repurchase program is not by itself evidence of anything improper. What this investigation is examining is narrower: whether repurchases made from holders affiliated with the Company’s own directors or significant shareholders were made on terms fair to Stagwell, how the price and timing of those purchases were set, what approval process was followed, and whether any director with an interest in a transaction took part in approving it.
A preliminary estimate places the amount at issue at approximately $50 million. That figure is an estimate only. It has not been established, it does not reconcile to a specific line item in the Company’s public filings, and no court has found that any repurchase was improper.
Why we are seeking long-term shareholders
Claims of this kind are brought on behalf of the Company itself rather than on behalf of individual investors. They generally require a shareholder who owned stock at the time of the conduct at issue and who has continued to own it since. That is why Henzel Law is seeking long-term Stagwell shareholders.
Who this may affect
You may be able to help, and may have rights worth reviewing, if you are a current shareholder who acquired Stagwell Inc. common stock in or before 2024 and still holds those shares today, or a former employee, officer or other individual with knowledge of the matters described above.
There is no cost or obligation to contact Henzel Law about this investigation. The estimated period stated above is the firm’s own preliminary estimate based on publicly available information; it has not been established by any court and may change as the investigation develops. Nothing on this page is an assertion that any Stagwell officer, director or employee has been found to have violated any law.
