What we’re investigating
Henzel Law is investigating potential claims on behalf of High Roller Technologies, Inc. (“High Roller” or the “Company”) (NYSE American: ROLR), relating to whether the Company’s directors and officers breached their fiduciary duties in connection with equity awards granted under its incentive plan. No lawsuit has been filed yet, no deadline is currently running, and no court has ruled on the merits of any matter described on this page.
The firm is particularly interested in hearing from long-term shareholders who acquired High Roller stock in or before 2024 and continue to hold their shares today.
What the filings show
High Roller’s 2026 proxy statement asks shareholders to approve raising the maximum number of shares that may be awarded to any one individual in a single year from 170,000 shares to 250,000 shares. The same plan originally reserved 1.7 million shares for issuance, later increased to 4.2 million.
What the investigation is examining
A company asking shareholders to raise an award limit naturally raises the question of what happened under the old one. This investigation is examining whether any grant made while the 170,000-share annual individual limit was in effect exceeded that limit, and if so, whether the board approved awards that the governing plan did not authorize it to make.
A preliminary estimate places the amount at issue at approximately $3 million. That figure is an estimate only. It has not been established, and no court has found that any award exceeded the plan’s limits.
Why we are seeking long-term shareholders
Claims of this kind are brought on behalf of the Company itself rather than on behalf of individual investors. They generally require a shareholder who owned stock at the time of the conduct at issue and who has continued to own it since. That is why Henzel Law is seeking long-term High Roller shareholders.
Who this may affect
You may be able to help, and may have rights worth reviewing, if you are a current shareholder who acquired High Roller Technologies, Inc. common stock in or before 2024 and still holds those shares today, or a former employee, officer or other individual with knowledge of the matters described above.
There is no cost or obligation to contact Henzel Law about this investigation. The estimated period stated above is the firm’s own preliminary estimate based on publicly available information; it has not been established by any court and may change as the investigation develops. Nothing on this page is an assertion that any High Roller officer, director or employee has been found to have violated any law.
