A securities fraud class action lawsuit has been filed against GoDaddy Inc. (“GoDaddy” or the “Company”) (NYSE: GDDY) on behalf of shareholders who purchased or otherwise acquired the Company’s securities between September 3, 2025 and February 24, 2026, inclusive (the “Class Period”). GoDaddy is a domain registration and web hosting company that also operates a domain marketplace and a range of commerce and productivity tools for small businesses.
The complaint alleges that, throughout the Class Period, defendants made materially false and misleading statements and/or failed to disclose that the Company had introduced an undisclosed promotional price of $4.99 for one-year .com domain registrations, despite public statements that GoDaddy had “turned off” front-funnel discounting; that this pricing shift, together with a shift away from the Company’s typical multi-year domain contracts — historically priced between $10 and $20 per year — toward shorter, one-year terms, reduced upfront bookings and average order size; and that, as a result, defendants’ positive statements about the Company’s business, operations, and bookings growth were materially misleading and/or lacked a reasonable basis.
On February 24, 2026, GoDaddy reported fourth-quarter and full-year 2025 results, disclosing that total bookings growth had decelerated to 5% in the fourth quarter, down from approximately 9% in the prior quarter, and that full-year 2025 total bookings growth came in at 7%. On this news, GoDaddy shares fell $13.18 per share, or more than 14%, from $92.30 to close at $79.12, on unusually heavy trading volume.
