A securities fraud class action lawsuit has been filed against Better Home & Finance Holding Company (“Better” or the “Company”) (NASDAQ: BETR) on behalf of shareholders who purchased or otherwise acquired the Company's securities between March 13, 2026 and May 7, 2026, inclusive (the “Class Period”). Better operates a digital mortgage origination platform.
The complaint alleges that, on March 13, 2026, in reporting its fourth-quarter 2025 results, Better's then-CEO Vishal Garg told investors the Company remained “on track to reach $1 billion in monthly volume by May 2026 and to reach adjusted EBITDA breakeven by the end of the third quarter 2026,” while then-CFO Loveen Advani stated that Better had “demonstrated the ability to grow regardless of macro conditions.” The complaint alleges that defendants failed to disclose that the Company's conversion funnel — the process of converting website visits and mortgage applicants into funded loan customers — was already slowing due to macroeconomic factors, and that, as a result, the $1 billion monthly volume target was unlikely to be met on schedule.
On May 7, 2026, Better reported first-quarter 2026 results, cutting its second-quarter guidance to a loan-volume range of $1.575 billion to $1.725 billion — a midpoint of roughly $550 million per month, a 45% shortfall from the previously touted $1 billion monthly target. Net loss increased 75% sequentially and 39% year over year, and Garg acknowledged on the earnings call that “conversion rates are down from where they were in Q1 due to macro factors.” On this news, Better's stock price fell more than 28%, or $12.17 per share, to close at $30.52 on May 7, 2026. After the end of the Class Period, the Company's CEO was terminated.
